Service-Level Agreement

This Service-Level Agreement (this “Agreement”), effective as of the date signed by the parties below (“Effective Date”), is entered into by and between the customer signing this agreement (“Customer”) and A-1 Tech Solutions LLC, doing business as Guest Ban, a company organized and existing in Washington, with offices located at 27177 185th Ave SE, Ste 111 #123, Covington, WA 98042 (“Service Provider”).

WHEREAS, the Parties have entered into an agreement effective as of the Effective Date (the “Contract”) for the provision of certain services by the Service Provider as described herein (the “Services”); and WHEREAS, the Contract states that a service level agreement is a condition precedent to any extended term of the Contract; and

WHEREAS, the Customer is willing to continue with the Contract past the original end date solely upon the Service Provider’s acceptance of the terms and conditions of this Agreement, and the Service Provider confidently accepts the terms and conditions herein;

NOW, THEREFORE, in consideration of the foregoing, and of the terms and conditions and the Service Levels, the Parties hereby agree as follows:

Rider Agreement

When signed, this Agreement will form a part of the Contract, and upon signing this Agreement, the Contract shall be automatically changed, in accordance with its terms, from a monthly contract to a yearly contract. All capitalized terms not defined herein shall have the meanings ascribed to them in the Contract.

Term and Termination

  1. Initial Term: The initial term of this Agreement shall be for twelve (12) months from the Effective Date (“Initial Term”).
    • Non-Cancellation Clause: The Contract cannot be canceled after the first 30 days of the Initial Term. After this 30-day period, the Customer is committed to the full twelve (12) months.
  2. Renewal Term: Upon completion of the Initial Term, the Contract will automatically renew for successive twelve (12) month terms (“Renewal Terms”). Either Party may terminate the Renewal Term by providing thirty (30) days’ written notice prior to the end of the then-current term

Payment Terms

  1. Billing Structure: During the Initial Term, billing shall occur monthly, per property serviced.
    • ID Scanner: The ID scanner shall be a one-time payment, with a recurring monthly subscription fee for ongoing services related to the scanner.
  2. Non-Cancellation and Acceleration Clause:
    • The Customer acknowledges that the Initial Term of this Agreement is for 12 months. By entering into this Agreement, the Customer commits to paying the full 12-month subscription fee, regardless of any termination or cancellation after the first 30 days.
    • In the event of non-payment, where the Customer defaults on payment obligations for more than 60 days, the entire remaining balance of the 12-month subscription shall become immediately due and payable. The Service Provider reserves the right to take legal action to recover the full amount, including any outstanding payments, interest, and associated legal fees.
    • The Customer agrees that no refund or pro-ration of the subscription fee will be provided if the Customer terminates the Agreement or ceases to use the Services during the Initial Term, except as otherwise agreed in writing by the Service Provider.

Service Levels and Service Credits

The Service Provider shall at all times during the term of this Agreement provide the Services to meet or exceed the Service Level Performance Measure for each Service Level Performance Criterion.

The Service Provider acknowledges that any failure to meet a Service Level may have a material adverse impact on the business and operations of the Customer and that it shall entitle the Customer to the rights set out in this Agreement below, including the right to any Service Credits.

The Service Provider acknowledges and agrees that any Service Credit is a price adjustment reflecting the value of any lost service caused by failure to meet a Service Level. Both Parties agree that the Service Credits are a reasonable method of price adjustment to reflect poor performance.

Other than the Customer’s termination rights as set forth in the Contract, a Service Credit shall be the Customer’s exclusive financial remedy for a failure to meet a Service Level.

Performance Monitoring

The Service Provider shall implement all measurement and monitoring tools and procedures necessary to measure, monitor, and report on the Service Provider’s performance of the provision of the Services against the applicable Service Levels at a level of detail sufficient to verify compliance with the Service Levels.

The Service Provider shall immediately notify the Customer in writing if the level of performance of the Service Provider of any element of the provision by it of the Services during the term of the Contract is likely to or fails to meet any Service Level Performance Measure.

Objectives

The objectives of the Service Levels and Service Credits are to:

  • Ensure that the Services are of a consistently high quality and meet the requirements of the Customer;
  • Provide a mechanism whereby the Customer can attain meaningful recognition of the Service Provider’s failure to deliver the level of service for which it has contracted to deliver; and
  • Incentivize the Service Provider to comply with and to expeditiously remedy any failure to comply with the Service Levels.

Customer Requirements

Customer responsibilities and/or requirements in support of this Agreement include:

  • Payment for all support costs at the agreed interval.
  • Reasonable availability of customer representative(s) when resolving a service-related incident or request.

Service Provider Requirements

Service Provider responsibilities and/or requirements in support of this Agreement include:

  • Meeting response times associated with service-related incidents.
  • Appropriate notification to the Customer for all scheduled maintenance.
