Service-Level Agreement

This Service-Level Agreement (this “Agreement”), effective as of the date signed by the parties below (“Effective Date”), is entered into by and between the customer signing this agreement (“Customer”) and A-1 Tech Solutions LLC, doing business as Guest Ban, a company organized and existing in Washington, with offices located at 27177 185th Ave SE, Ste 111 #123, Covington, WA 98042 (“Service Provider”).

WHEREAS, the Parties have entered into an agreement effective as of the Effective Date (the “Contract”) for the provision of certain services by the Service Provider as described herein (the “Services”); and WHEREAS, the Contract states that a service level agreement is a condition precedent to any extended term of the Contract; and

WHEREAS, the Customer is willing to continue with the Contract past the original end date solely upon the Service Provider’s acceptance of the terms and conditions of this Agreement, and the Service Provider confidently accepts the terms and conditions herein;

NOW, THEREFORE, in consideration of the foregoing, and of the terms and conditions and the Service Levels, the Parties hereby agree as follows:

Rider Agreement

When signed, this Agreement will form a part of the Contract, and upon signing this Agreement, the Contract shall be automatically changed, in accordance with its terms, from a monthly contract to a yearly contract. All capitalized terms not defined herein shall have the meanings ascribed to them in the Contract.

Term and Termination

Contract Term Options

The Customer may elect one of the following contract term structures at the time of purchase:

Month-to-Month Term

    • The Contract renews monthly and may be terminated with 30 days’ written notice.
    • Installment payment plans may not be used for month-to-month terms.

Yearly Term (12 Months)

    • The Customer commits to a full twelve (12) month period.
      • After the first 30 days, this term becomes non-cancelable and non-refundable.
      • Renewal converts to month-to-month unless a new yearly term is selected.

Multi-Year Term (Customer-Specified)

    • The Customer may elect a multi-year term (e.g., 2 years, 3 years, 5 years, etc.).
      • The Customer commits to the full term selected.
      • After the first 30 days, the multi-year term becomes non-cancelable and non-refundable.
      • The 3-Year Free Scanner provisions apply to the 3-year option and any other promotional multi-year bundles.

Three-Year Free Scanner Term

If the Customer selects a 3-Year Term, the Customer shall receive one (1) complimentary ID scanner valued at $500.
If the Customer cancels, defaults, or otherwise terminates service at any time during the 36-month period, the Customer agrees that:

  • The $500 scanner cost becomes immediately due, and
  • No portion of this cost is refundable.

This obligation survives termination.

Service Levels and Service Credits

The Service Provider shall at all times during the term of this Agreement provide the Services to meet or exceed the Service Level Performance Measure for each Service Level Performance Criterion.

The Service Provider acknowledges that any failure to meet a Service Level may have a material adverse impact on the business and operations of the Customer and that it shall entitle the Customer to the rights set out in this Agreement below, including the right to any Service Credits.

The Service Provider acknowledges and agrees that any Service Credit is a price adjustment reflecting the value of any lost service caused by failure to meet a Service Level. Both Parties agree that the Service Credits are a reasonable method of price adjustment to reflect poor performance.

Other than the Customer’s termination rights as set forth in the Contract, a Service Credit shall be the Customer’s exclusive financial remedy for a failure to meet a Service Level.

Payment Terms 

Standard Billing

  • Billing occurs monthly per property unless paid upfront.
  • Scanner hardware is a one-time purchase unless received as part of a free-scanner multi-year plan.

Payment Plan Options

Customer may choose from the following payment structures for software, scanner, or bundled services:

A. Pay-in-Full (Upfront)

  • Payment for the entire selected term (yearly or multi-year) may be made upfront.
  • Upfront payments are non-refundable after 30 days.

B. Installment Plans (Affirm, Afterpay, or Provider-Approved Financing)

Customers may elect approved installment financing options, including:

  1. 4-Installment Pay Plan (typically bi-weekly or monthly; Affirm/Afterpay)
  2. Monthly Financing Pay Plan
    • 3-month financing
    • 6-month financing
    • 12-month financing

Financing Agreement Terms

If the Customer selects any installment or financing plan:

  1. Financing payments are non-refundable once the financing agreement is executed.
  2. The Service Provider cannot reverse or modify Affirm/Afterpay/payment-processor terms.
  3. The Customer remains responsible for completing all installments regardless of:
    • service cancellation,
    • non-use of the Service,
    • disputes unrelated to service delivery, or
    • account closures.

Any default on installment payments is treated as a payment default, triggering:

    • acceleration of the unpaid balance for the full Contract term,
    • and if applicable, the $500 scanner repayment obligation.

Non-Cancellation & Acceleration Clause (Applies to All Terms)

After the first 30 days of the Initial Term (yearly or multi-year):

  • The Customer is fully committed to the full remaining balance of the selected term.
  • No refunds or prorated credits will be issued.

If payment is 60 days past due, the remaining unpaid balance for the entire term becomes immediately due and payable. The Service Provider may seek recovery, including legal fees and interest.

Performance Monitoring

The Service Provider shall implement all measurement and monitoring tools and procedures necessary to measure, monitor, and report on the Service Provider’s performance of the provision of the Services against the applicable Service Levels at a level of detail sufficient to verify compliance with the Service Levels.

The Service Provider shall immediately notify the Customer in writing if the level of performance of the Service Provider of any element of the provision by it of the Services during the term of the Contract is likely to or fails to meet any Service Level Performance Measure.

Objectives

The objectives of the Service Levels and Service Credits are to:

  • Ensure that the Services are of a consistently high quality and meet the requirements of the Customer;
  • Provide a mechanism whereby the Customer can attain meaningful recognition of the Service Provider’s failure to deliver the level of service for which it has contracted to deliver; and
  • Incentivize the Service Provider to comply with and to expeditiously remedy any failure to comply with the Service Levels.

Customer Requirements

Customer responsibilities and/or requirements in support of this Agreement include:

  • Payment for all support costs at the agreed interval.
  • Reasonable availability of customer representative(s) when resolving a service-related incident or request.

Service Provider Requirements

Service Provider responsibilities and/or requirements in support of this Agreement include:

  • Meeting response times associated with service-related incidents.
  • Appropriate notification to the Customer for all scheduled maintenance.

  • Changes to services will be communicated and documented to all stakeholders.

IN WITNESS WHEREOF, by execution by the parties below, this Service-Level Agreement will form a part of the Contract.
